Coridum Terms of Service

Coridum (together with our affiliates, "Coridum", "we", or "us") provides an online access to measurements, processing and visualization platform and related products, services, content and features through: (i) Coridum websites, such as those to access the platform and local country pages (the "Coridum Site(s)"), (ii) the interfaces (such as the Coridum Captive Portal) on devices connected to Coridum measurement equipment (such as the Coridum Module), (iii) Coridum-controlled social media pages and messaging applications (including on Meta, Instagram, Spotify, X, WhatsApp); the Coridum-controlled Artificial Intelligence Applications (the “Coridum AI”). To make these Terms of Service (the "Terms") easier to read, the Coridum Sites, Coridum Captive Portal, the Coridum Module, Coridum-controlled social media pages and messaging applications and the Coridum AI are collectively called the "Coridum Service(s)" or "the Services". We may personalize content and features as part of the Services to improve your experience, including showing you recommendations in the Service that might be of interest to you. By registering as a Coridum Subscriber or by visiting, browsing, or using the Coridum Service in any way, you (as a "user") accept and agree to be bound by these Terms, which form a binding agreement between you and Coridum.
If you do not wish to be bound by these Terms, you may not access or use the Coridum Service. Certain elements of the Coridum Service may be subject to additional terms and conditions specified from time to time; your use of those elements of the Coridum Service is subject to those additional terms and conditions, which are incorporated into these Terms by this reference.
1. Coridum Eligibility Requirements
Minimum age. You must be at least 13 years old or the minimum age required in your country to consent to use the Services.
Account Holder Age Requirement. You must be at least 18 years old, or the age of legal majority in your jurisdiction of residence, to purchase a Coridum subscription and become an Account Holder. If you are under 18 you must have your parent or legal guardian’s permission to use the Services.
If you are a parent or legal guardian of an Account Holder or a Coridum Free Account Holder under the age of 18 years old, you are subject to these Terms and responsible for that Account Holder´s or Coridum Free Account Holder's activity on the Coridum Service by allowing them to use the Coridum Service.
Coridum Equipment Use Age Requirements.
Coridum Module: Individuals 13 years of age and older may use the Coridum Module.
All individuals must abide by all safety precautions and instructions in the applicable product user manual. All individuals under 18 years of age must have permission to participate from a parent or legal guardian who will provide supervision.
We may, in our sole discretion, refuse to offer the Coridum Service to any person or entity and change the eligibility criteria at any time. You are solely responsible for ensuring that these Terms are in compliance with all laws, rules and regulations applicable to you, and the right to access and use the Coridum Service is revoked where these Terms or use of the Coridum Service is prohibited or conflicts with any applicable law, rule or regulation. Further, the Coridum Service is offered only for your personal use or for a limited commercial use and the Coridum Service is not offered for the use or benefit of any third party. The limited commercial use means any use or activity where a fee is not charged for the use of the Service and the purpose is not the sale of the Service, and the use or activity is not intended to produce a direct profit form the use of the Service. The limited commercial use excludes resale the Service, either alone or as part of any other good or service.
Certain Coridum Services may not be available in all languages or in all countries or regions. Coridum makes no representation that such Coridum Services are appropriate or available for use in any particular location.
2. License to Use the Coridum Service
License. Subject to your compliance with these Terms and solely for so long as you are permitted by us to access and use the Coridum Service, Coridum grants you a limited, non-transferable, non-exclusive, revocable right and license to access and use the Coridum Service for your own personal, or for your limited commercial use, a right which may not be assigned or sublicensed to anyone. This license includes the right to view Content (defined below) available on the Coridum Service and the right to download unlimited copies of the Content to any single device for your personal or limited commercial use only, provided you keep intact all copyright and other proprietary notices. This license grant is subject to you agreeing to and abiding by the Coridum Intellectual Property Policy, which forms a part of these Terms. This license will remain in effect unless and until you violate these Terms or this license is terminated by you or Coridum.
Restrictions. Except as expressly permitted in writing by an authorized representative of Coridum, you will not reproduce, redistribute, sell, transfer, create derivative works from, decompile, reverse engineer, or disassemble the Coridum Service, nor will you take any measures to interfere with or damage the Coridum Service. Unless otherwise specified, copying or modifying any Content or using Content for any purpose other than your personal or your limited commercial use of the Coridum Service, including use of any such Content on any other website or networked computer environment, is strictly prohibited. All rights not expressly granted by Coridum in these Terms are reserved.
3. Privacy
When you interact with Coridum you may volunteer personal information, or you may be asked to provide personal information in order for us to provide the Services as described. Examples of interacting with Us: accessing our Services, completing and/or using one of our registration forms, reviewing our Content, contacting us with inquiries, responding to one of our surveys, purchasing or using our Services.
Standard Identifying Information. Name, mailing address (including postal code), billing address (including postal code), email, date of birth and phone number.
Purchase Information. Details related to products and Services you order, and delivery information (including billing, shipping and delivery address) that you provide when you purchase our Services.
Profile Information. Information that you provide in connection with your Coridum Profile, such as username, and any additional information you choose to provide to enhance your use of the Services.
That information referenced above that constitutes personal data will be used by Coridum solely for the purposes of provision of the Services and your interaction with Us in the course of the Term (defined below) and for its duration and 30 days thereafter.
4. Subscription Initiation
To enjoy full access to the Coridum Service, you must register as a subscriber to the Coridum Service and enter into a subscription agreement for access to our Content, and features (the "Subscription" or “Subscription Service”). You must provide complete and accurate registration information to Coridum, complete the Subscription process, and notify us if any of your information changes. If you fail to keep your account information up to date, we may have to suspend or terminate your Subscription.
Account Security. You are responsible for all activity that occurs under your account, including any activity by unauthorized users. You may not allow others to use your account unless they are authorized users; this includes furnishing your username and password to third-party developed applications to connect to your account for any reason. You must safeguard the confidentiality of your password, and if you are using a device that others have access to, log out of your account after using the Coridum Service. If you become aware of unauthorized access to your account, change your password and notify Coridum immediately.
5. Coridum Module, Subscription Fees and Charges, Returns
Coridum will provide information on its Subscription requirements, including the Subscription fees on the Coridum Site and/or by other means through the Coridum Service. Features and prices are subject to change.
Buyout. At any time, you may purchase the Coridum Module you have received through the Coridum Service (the “Buyout”). Coridum will provide the Buyout pricing information in the Coridum Site. After a Buyout, you will continue to be charged the cost of the Coridum Service until you separately cancel. Coridum shall have no ongoing duty, obligation, or responsibility to perform any service, care, or maintenance on the Coridum Module or to uninstall or remove the Coridum Module after termination of the Service.
Coridum Module Ownership. Coridum is the owner of the Coridum Module or any other Coridum measurement equipment or its accessories (the “Equipment”), unless a Buyout has been executed and fully paid for.
Coridum Module Installation. The Coridum Module should be installed and activated by following the set-up guide and associated tools (including the Coridum Captive Portal) provided for that purpose.
Coridum Module Return. Upon termination of your Coridum Service for any reason, Coridum shall remain the owner of the Coridum Module and any other Equipment unless a Buyout has been executed and fully paid for. Unless we tell you otherwise in writing, you must return the Coridum Module and any Equipment you do not own, undamaged, within 21 calendar days to Coridum. If the Coridum Module or any Equipment is not returned within 21 calendar days, or is returned damaged, you may be charged for the replacement value of the Coridum Module or the Equipment (“Replacement Value”). Coridum will provide the Replacement Value information in the Coridum Site.
6. Sale of Services
Coridum accepts orders for the Subscription Service, related products, services, or content that we may offer through the Coridum Site or at Coridum retail locations. The availability of the Subscription Service, Features, related products, services, or content for future purchases cannot be guaranteed. Please note that products, services, and other information provided are subject to corrections and changes without notice. In addition, advertising depictions, graphics, and diagrams are for illustrative purposes only and may not accurately reflect actual product or component availability. Colors, styles and other variants depicted are for illustration only and are subject to change. Errors will be corrected where discovered, and we reserve the right to revoke any stated offer and to correct any errors, inaccuracies or omissions.
Unless otherwise specified at the time of purchase, you must pay for products when you place the order. All products ordered will be delivered to the shipping address you provide. We reserve the right to cancel an order placed by you at any time and for any lawful reason prior to our delivery of the product(s) and receipt of payment in full from you, provided that we will refund any fees that you prepaid for those products if we cancel. We may send an acknowledgment of receipt of your order to the email address you provide and/or proof of purchase information through the Coridum Site or to your email address after your payment has been processed.
The Coridum Subscription Service cannot be assigned, transferred, purchased or sold, redeemed for cash or credit or any other monetary value or currency, or used to pay debts by the recipient.
7. Termination and Account Deletion
Term. These Terms begin on the date you first use the Coridum Service and continue as long as you have an account with us and/or continue to use the Coridum Service.
Termination. Coridum may, in Coridum's sole discretion, suspend, disable, or delete your account (or any part thereof) or block or remove any User Content (defined below) that you submitted, for any lawful reason, including if Coridum determines that you have violated these Terms or that your conduct or User Content would tend to damage Coridum's reputation or goodwill. Coridum may block your access to the Coridum Service to prevent re-registration.
Effect of Termination / Account Deletion. Upon termination of these Terms all licenses granted by Coridum will terminate. The following sections survive termination: Privacy (Section 3), User Content (Section 8), Indemnification (Section 12), No Warranties (Section 15), Limitation of Liability (Section 16), Intellectual Property (Section 18), Contracting Entities, Governing Law and Jurisdiction (Section 21), and all general provisions. In the event of account deletion for any reason, User Content may no longer be available and Coridum is not responsible for the deletion or loss of such User Content. For clarity, if you cancel your Subscription or it is terminated for any reason, you will lose access to live or any other Content or features provided through the Coridum Service. Coridum, in its sole discretion, may make available a very limited amount of Content or features to non-subscribers from time to time, and any use of that Content is governed by these Terms.
8. User Content
"Content" means measurements, calculations, text, graphics, images, music, software, audio, video, works of authorship of any kind, and information or other materials that are posted, generated, provided or otherwise made available through the Coridum Service. "User Content" means any content that users (including you) provide to be made available through the Coridum Service. Content includes, without limitation, User Content.
Any User Content, whether publicly posted or privately transmitted, is the sole responsibility of the person who originated such User Content. You represent that all User Content submitted by or on behalf of you is accurate, complete, up-to-date, and in compliance with these Terms and with all applicable laws, rules, and regulations. You acknowledge that all Content, including User Content, accessed by you using the Coridum Service is at your own risk, and you will be solely responsible for any damage or loss to you or any other party resulting therefrom. To the full extent permitted by law, we make no representations, warranties, or guarantees with respect to any Content that you access on or through the Coridum Service.
As between you and Coridum, you represent that you own (or have all rights necessary to grant Coridum the rights below to) all User Content that you submit to the Coridum Service and that Coridum will not need to obtain licenses from any third party or pay royalties to any third party in order to use such User Content. You grant Coridum a worldwide, perpetual, irrevocable, non-exclusive, sublicensable (through multiple tiers), transferable royalty-free license and right to use, copy, transmit, distribute, publicly perform and display (through all media now known or later created), edit, modify, and make derivative works from your User Content (including, without limitation, translations) for any purpose whatsoever, commercial or otherwise, without compensation to you. If you make suggestions to Coridum or through the Coridum Service about improving or adding new features or products to the Coridum Service or you otherwise provide feedback, product or service reviews, or testimonials, you hereby grant to Coridum a worldwide, perpetual, irrevocable, non-exclusive, sublicensable (through multiple tiers), transferable royalty-free license and right to use, copy, modify, create derivative works based upon and otherwise exploit your suggestions, feedback, reviews, and testimonials for any purpose (including for marketing), without any notice, compensation or other obligation to you.
You can remove your User Content by specifically deleting it. However, in certain instances, some of your User Content may not be completely removed, and copies of your User Content may continue to exist on the Coridum Service. We are not responsible or liable for the removal or deletion of (or the failure to remove or delete) any of your User Content.
9. Subscription Terms
A Coridum "Subscriber" is any individual or entity with a paid Coridum Subscription who accesses the Coridum Service via their Coridum account. The term "Subscriber" does not include individuals with a Coridum Free account or individuals who access Coridum Content without Coridum credentials. A Coridum "Account Holder" is any Subscriber who activates and pays the monthly subscription fees for a Coridum Subscription Service, including any individual or entity who pays the monthly subscription fees for a Coridum Subscription Service with a prepaid, gift, or promotional activation code ("Activation Code").
A Coridum Subscription Service may be purchased or received and provides you and your designated users (up to 100 users) with full access to Coridum's available Content, and features for as long as remains active. A Coridum Subscription Service comes with a single Coridum Module made available to Account Holder for the duration of the Subscription. Coridum Subscribers will only have access to the features and Content made available on respective Coridum Service that they are using.
Each of the Coridum Subscription Service is sold separately. As a Coridum Account Holder, you may possess one or more Coridum Subscription Services.
The Coridum Account Holder is responsible for all activities under their account. For each Coridum Subscription, access to Content and features for that Subscription is contingent on and requires a Coridum Account Holder to log into the Coridum Service using their Coridum account credentials.
Billing Cycles and Auto-Renewal. Any Coridum Subscription cycle recurs on a monthly or annual basis, as applicable, until it is canceled in accordance with these Terms. Billing occurs at the beginning of the subscription cycle and provides access for one month or one year after that, as applicable. By purchasing a Coridum Subscription, you acknowledge that your Coridum Subscription has recurring payment features and accept responsibility for all recurring payment obligations of your Coridum Subscription by you or Coridum. Coridum may offer additional promotions or discounts related to Coridum Subscription from time to time. Please read the details of those offers carefully, as any additional terms presented during the signup process will form part of these Terms. Unless specified in writing, all discount offers that require payment are non-refundable. Any trial or other promotion must be used within the specified time frame of the trial or promotion. You may be required to have a valid payment method on file to initiate a trial; in this case, if you do not cancel before your trial period ends, your account will be converted to a paid Coridum Subscription and charged per these Terms.
Termination or Cancellation of Subscription. You may cancel your Coridum Subscription anytime. If you cancel your Coridum Subscription, you may use your Coridum subscription until the end of the then-current period, and your Coridum Subscription will not be renewed after that period expires. However, you will not be eligible for a prorated refund of any portion of the Coridum Subscription fee paid for the then-current Coridum Subscription period, subject to specific cancellation and refund rights for residents of certain jurisdictions. You will remain responsible for any outstanding fees for the remainder of the Committed Subscription Period following any cancellation.
Suspension/Termination by Coridum. Coridum may immediately terminate or suspend your account and all or a portion of your Subscription or your access to the Coridum Account without notice if:
your payment is overdue (provided that we will use reasonable efforts to notify you of the overdue payment before we terminate or suspend);
you provide false or inaccurate information;
you violate these Terms, or any other Coridum rules or agreements then in effect;
you engage in conduct that is a violation of any applicable law or tariff (including, without limitation, copyright and intellectual property laws); or
if you engage in conduct that is threatening, abusive, or harassing to Coridum employees, agents, or other Coridum users.
If we terminate or suspend your Coridum Subscription or access to the Coridum Account, your license to use any software or content provided in connection with the Coridum Subscription is also terminated or suspended (as applicable). If your Coridum Subscription or access to the Coridum Account is terminated, Coridum has the right to immediately delete all data, files, and other information stored in or for your account without further notice. You must pay all charges up to and including the date of termination or suspension. In the case of a Committed Subscription Period, you must pay all fees up to and including the last date of the Committed Subscription Period. Should you wish to resume your Coridum Subscription after any suspension, a restoration of service fee may apply. This fee includes all past-due unpaid charges and other fees.
Amount to be Charged. Coridum Account Holders agree to pay the fee specified when they purchased their Coridum Subscription (plus any applicable taxes and other charges). If the amount to be charged varies from the amount pre-authorized (other than due to the imposition of, or change in, applicable sales tax), Coridum Account Holders have the right to receive, and we will provide, notice of the amount to be charged and the date of the charge before the scheduled date of the transaction, unless applicable law requires Coridum Account Holders to consent to the change in price expressly. Any agreement you have with your payment provider governs your use of your specified payment method. You agree that we may accumulate charges incurred and submit them as one or more aggregate charges during or at the end of each billing cycle. Your failure to terminate and/or continued use of your Coridum subscription reaffirms that we are authorized to charge you for that Coridum Subscription. We may submit those charges for payment, and you will be responsible for such charges. This does not waive our right to seek payment directly from you.
Billing Authorization. You may be asked to provide a payment method (such as a credit, charge, or debit card number) that we accept, along with other payment information, to activate your Coridum Subscription, including Coridum Subscription paid for with an Activation Code, along with other payment information. You represent and warrant that you have the legal right to use all payment method(s) you provide us. Your authorizations in this section also apply to our payment processors and other companies acting as billing agents for us. You hereby authorize us to charge your specified payment method on a monthly or annual basis, as applicable, in line with your Coridum Subscription cycle or Committed Subscription Period, in advance, for your Coridum Subscription (s) and/or to place a hold on your payment method for any unpaid charges for your Coridum Subscription (s). You authorize the issuer of your selected payment method to pay any amounts described herein without requiring a signed receipt. You agree that these Terms shall be accepted as authorization to the issuer of the payment method to pay any amounts described herein without requiring a signed receipt from you. You authorize us to continue to attempt to charge and/or place holds for all sums described herein, or any portion thereof, to your payment method until such amounts are paid in full. You agree to provide updated payment information upon request, and at any time, the information you previously provided is no longer valid. You acknowledge and agree that neither Coridum nor any Coridum agent will have any liability whatsoever for any insufficient funds or other charges incurred by you due to attempts to charge and/or place holds on your specified payment method as contemplated by these Terms. If you provide a debit card number instead of a credit card number, you authorize all charges described herein to be applied to such debit card unless and until you provide a credit card number.
Third-Party Payment Processors. You agree to pay us, through our payment processors , all charges at the prices then in effect for any purchase in accordance with the applicable payment terms presented to you at the time of purchase. You agree to make payment using the payment method you provide when you set up your account. We reserve the right to correct or instruct our payment processors to correct any errors or mistakes, even if payment has already been requested or received.
Bill Inquiries and Refunds. If you believe you have been billed in error for a Subscription, please notify us within 60 days of the billing date by contacting Support at + 421 907 594 263 or visiting our Contact Us page. Coridum will not issue refunds or credits after the expiration of this 60-day period, except where required by applicable law.
10. General Prohibitions and Coridum's Enforcement Rights
You agree not to do any of the following:
Post, upload, publish, submit, or transmit any User Content or engage in any activity that:
infringes, misappropriates, or violates a third party's patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy;
violates or encourages any conduct that would violate any applicable law or regulation or would give rise to civil liability;
is fraudulent, false, misleading, or deceptive;
is defamatory, obscene, pornographic, vulgar, or offensive;
promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group;
is violent or threatening or promotes violence or actions that are threatening to any person, animal, or entity;
exploits minors or
promotes illegal or harmful activities or substances;
Download and/or install any third party software and/or application on any Coridum Equipment that is not expressly permitted by Coridum in writing;
Use, display, mirror or frame the Coridum Service or any individual element within the Coridum Service, Coridum's name, any Coridum trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without Coridum's express written consent;
Access, tamper with, or use non-public areas of the Coridum Service, the Coridum Coridum's computer systems, or the technical delivery systems of Coridum's providers;
Attempt to probe, scan or test the vulnerability of any Coridum system or network or breach any security or authentication measures;
Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by Coridum or any of Coridum's providers or any other third party (including another user) to protect the Coridum Service or Content;
Bypass any territorial restrictions, including IP address-based restrictions that may be applied to the Coridum Service;
Attempt to access, scrape or search the Coridum Service or Content or download Content from the Coridum Service, including through the use of any engine, software, tool, agent, device, or mechanism (including spiders, robots, crawlers, data mining tools, plugins, add-ons or the like), other than the software and/or search agents provided by Coridum or other generally available third-party web browsers;
Send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters, or other form of solicitation;
Use any meta tags or other hidden text or metadata utilizing a Coridum trademark, logo URL, or product name without Coridum's express written consent;
Use the Coridum Service or Content, or any portion thereof, for any commercial purpose or for the benefit of any third party or in any manner not permitted by these Terms or permitted expressly in writing by Coridum;
Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Coridum Service or Content to send altered, deceptive, or false source-identifying information;
Attempt to decipher, decompile, disassemble, or reverse engineer any of the software used to provide the Coridum Service or Content;
Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Coridum Service;
Collect or store any personally identifiable information from the Coridum Service from other users of the Coridum Service without their express permission;
Copy, use, index, disclose or distribute any information or data obtained from the Coridum Service, whether directly or through third parties (such as search engines), without Coridum's express written consent;
Alter, replicate, store, distribute, or create derivatives from the Content available via the Coridum Service except as expressly permitted in writing by Coridum;
Impersonate or misrepresent your affiliation with any person or entity;
Access, use, or exploit the Coridum Service in any manner (other than as expressly permitted by these Terms), including to build, develop (or commission the development of), replicate, or consult upon any product or service that may compete (directly or indirectly) with Coridum or the Coridum Service;
Violate any applicable law or regulation; or
Encourage or enable any other individual to do any of the foregoing.
Although we're not obligated to monitor access to or use of the Coridum Service or Content or to review or edit any User Content, we have the right to do so for the purpose of operating the Coridum Service, to ensure compliance with these Terms, to comply with applicable law or other legal requirements and to maintain the integrity and reputation of the Coridum Service and Coridum's systems. We reserve the right, but are not obligated, to remove or disable access to any User Content, at any time and without notice, including, but not limited to, if we, at our sole discretion, consider any User Content to be objectionable or in violation of these Terms. We have the right to investigate violations of these Terms or conduct that affects the Coridum Service. We may also consult and cooperate with law enforcement authorities to prosecute users who violate the law.
11. Return and Replacement Policy
Coridum will replace your Coridum Module free of charge in the course of the Subscription provided that the Subscription is in good standing.
If your Coridum Module is returned in damaged condition, with missing parts, or otherwise has signs of abuse, Coridum reserves the right to refuse any further Coridum Service to you and/or to charge the Replacement Value, at Coridum’s sole discretion (the “Replacement Policy”).
12. Indemnification
You agree to indemnify, defend, and hold harmless Coridum and its directors, officers, employees, and agents, from and against all claims, damages, losses and costs that arise from or relate to
your activities on the Coridum Service,
any User Content submitted by or on behalf of you or
your violation of these Terms.
13. Third Party Software and Applications
Downloading and/or installing any third party software and/or applications that are not expressly authorized by Coridum on any Coridum Equipment constitutes a breach of these Terms; any such downloading or installation is done at your own risk and may void any applicable Replacement Policy right or support commitments by Coridum.
14. Third Party Links and Content
There may be links on the Coridum Service that let you leave the particular Coridum Service you are accessing in order to access a linked site or application that is operated by a third party. In order to facilitate these services, Coridum may receive or provide certain data to ensure compatibility and access. Coridum does not control any third party site and may not have reviewed or approved the content that appears on them. Coridum is not responsible for the legality, accuracy or inappropriate nature of any content, advertising, products or other materials on or available from any such third party sites. You acknowledge and agree that Coridum is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the access or use of any of the links, content, goods or services available on or through these third party sites.
15. No Warranties
Coridum reserves the right to modify the Coridum Service, including, but not limited to updating, adding to, enhancing, modifying, removing or altering any Content or features of the Coridum Service, at any time, in its sole discretion. You are responsible for providing your own access (e.g., computer, mobile device, Internet connection, electricity for the Coridum Module etc.) to the Coridum Service. Coridum has no obligation to screen or monitor any Content and does not guarantee that any Content available on the Coridum Service is suitable for all users or that it will continue to be available for any length of time.
Coridum provides the Coridum Service on an "AS IS" and "AS AVAILABLE" basis. You therefore use the Coridum Service at your own risk. Other than as expressly provided in writing by Coridum in connection with your purchase of a Coridum product, to the extent permitted by law, Coridum expressly disclaims any and all warranties of any kind, whether express or implied, including, but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, quiet enjoyment and any other warranty that might arise under any law. Without limiting the foregoing, Coridum makes no representations or warranties:
That the Coridum Service is or will be permitted in your jurisdiction;
That the Coridum Service will be uninterrupted or error-free;
Concerning any Content, including User Content;
Concerning any third party's use of User Content that you submit;
That the Coridum Service will meet your personal or professional needs;
That Coridum will continue to support any particular feature of the Coridum Service; or
Concerning sites and resources outside of the Coridum Service, even if linked to from the Coridum Service.
To the extent that another party may have access to or view Content on your device, you are solely responsible for informing such party of all disclaimers and warnings in these Terms.
16. Limitation of Liability
To the fullest extent permitted by law:
Coridum shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, economic or pure economic losses, goodwill, use, data, service interruption, computer damage, system failure, inability to use the Coridum Service or Content or other intangible losses, even if a limited remedy set forth herein is found to have failed its essential purpose; and
Coridum's total liability to you for all claims, in the aggregate, will not exceed the amount actually paid by you to Coridum over the two (2) months preceding the date your first claim(s) arose.
If you live or if your entity is located in a jurisdiction that does not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation does not apply to you. To the extent that one or any aspect of Coridum's limitations set out above does not apply, all remaining aspects survive.
17. Safety Warnings
The Coridum Service offers informational measurement content and is designed for informational, educational and ancillary purposes only. You should not rely on this information as a substitute for, nor does it replace, professional advice or professional treatment. If you have any concerns or questions about your health, you should always consult with a physician, general practitioner or other health-care professional. Do not disregard, avoid or delay obtaining any specialist or professional service because of something you may have read on the Coridum Site or something you may have read on the Coridum Service. The use of information provided through the Coridum service is solely at your own risk and is not medical, occupational safety or healthcare advice.
The Coridum Service is continually under development and, to the full extent permitted by law, Coridum makes no warranty of any kind, implied or express, as to its accuracy, completeness or appropriateness for any purpose. No assurance can be given that the advice contained in the Coridum Service will always include the most recent findings or developments with respect to the particular material.
18. Intellectual Property Acknowledgment
You acknowledge and agree that your use of the Coridum Services and any Content contained therein is dependent upon you agreeing to and abiding by the Coridum Intellectual Property Policy at all times. You further acknowledge that the Coridum Service contains software and other content that is protected by copyrights, patents, trademarks, trade secrets or other proprietary rights, and that these rights are valid and protected in all forms, media and technologies existing now or hereafter developed.
19. Intellectual Property Usage
Each user is responsible for ensuring that their User Content does not infringe any third party's right or other intellectual property rights.
20. Coridum Services End-of-Life Policy
Coridum is committed to providing industry-leading products and services. This means Coridum Services will continue to evolve with more complex levels of capabilities, functionalities and enhanced security, data and software/hardware design requirements. Coridum may discontinue Coridum Services in its sole discretion.
Factors that may be taken into account in end-of-life determinations could be based on, among other things: i) technical limitations and/or data security considerations that may be associated with the age of products; ii) average useful life data for similar product categories, when available; and iii) the availability and/or lack of support of third-party technology.
End-of-Life : A process that guides the final operations associated with a Coridum Service life cycle. The end-of-life process consists of a series of milestones and activities that, once completed, make a product obsolete. Once obsolete, a Coridum Service is not sold, improved, maintained, or supported (subject to applicable law).
End-of-Life Date : Last calendar date on which Coridum will support a Coridum Service or component thereof that Coridum has determined to end-of-life. End-of-Life Date may be unique to each Coridum Service or such component and will be effective as determined by Coridum or in accordance with the notice provisions as set forth in this policy or as otherwise published by Coridum (subject to applicable law).
It is important to note that there may be scenarios when Coridum Service may be inoperable after their respective End-of-Life Date. For instance, should you decline certain upgrade or replacement opportunities for Coridum Service or its component as they reach their End-of-Life Date, there may be situations where such Coridum Service may be materially limited in functionality (such as the ability to connect to Coridum's servers for connected activities) or wholly inoperable.
You may have rights or remedies relating to the Coridum Service and offers which cannot be excluded or limited under applicable law. Nothing in this policy is intended to or will affect any such rights or remedies or limit or exclude any liabilities, for example liabilities for personal injury or death caused by our negligence or for fraudulent misrepresentation, which cannot be excluded or limited. All other warranties applicable to Coridum Service will terminate in accordance with their terms and applicable law.
21. Contracting Entities, Governing Law and Jurisdiction
Residents of the European Economic Area (EEA) are contracting with Codeset group FZC, Registered Office: Business Center, Al Shmookh Building, UAQ Free Trade Zone, P. O. Box. 7073, Umm Al Quwain, United Arab Emirates, License No.: 3859 (“Codeset”), except for those residents of the Slovak Republic, who purchased a Coridum Subscription via Slovanet, a. s., Registered office: Galvaniho 19, 821 04 Bratislava, the Slovak Republic, ID: 35 954 612, Tax ID (DIČ): 2022059094, VAT ID (IČ DPH):SK2022059094 (“Slovanet”), who are contracting with Slovanet.
All other users are contracting with Rearden Steel s.r.o., Registered Office: Boženy Němcovej 13, 990 01 Veľký Krtíš, the Slovak Republic, ID: 46 877 177, TAX ID: 2023664511, VAT ID: SK2023664511 („Rearden Steel“), unless otherwise specified in these Terms.
If your contract for the Coridum Service is with Rearden Steel or Slovanet these Terms shall be governed by the laws of the Slovak Republic, without regard to principles of conflicts of law.
If your contract for the Coridum Service is with another Coridum entity, these terms shall be governed by the laws of the jurisdiction under which that Coridum entity is incorporated, without regard to principles of conflicts of law. The Uniform Commercial Code, the Uniform Computer Information Transaction Act, and the United Nations Convention of Controls for International Sale of Goods shall not apply.
Subject to the agreements in Section 20 above,
if your contract for the Coridum Service is with Rearden Steel or Slovanet , exclusive jurisdiction for all disputes will be the court of the Slovak Republic, and you consent to the jurisdiction of those courts, and
if your contract for the Coridum Service is with another Coridum entity, exclusive jurisdiction for all disputes will be the courts located in the jurisdiction under which that Coridum entity is incorporated, and you consent to the jurisdiction of those courts.
22. Interpretation; Severability; Waiver; Remedies
Headings are for convenience only and shall not be used to construe these Terms. If any term of these Terms is found invalid or unenforceable by any court of competent jurisdiction, that term will be severed from these Terms. No failure or delay by Coridum in exercising any right hereunder will waive any further exercise of that right. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Coridum. Coridum's rights and remedies hereunder are cumulative and not exclusive.
23. Successors; Assignment; No Third Party Beneficiaries
These Terms are binding upon and will inure to the benefit of both parties and their respective successors, heirs, executors, administrators, personal representatives, and permitted assigns. You may not assign or transfer these Terms without Coridum's prior written consent. Coridum may assign its rights, obligations and/or these Terms at any time in its sole discretion without notice to you.
24. Notices
You consent to receive all communications including notices, agreements, disclosures, or other information from Coridum electronically. Coridum may communicate by email or by posting to the Coridum Service. For support-related inquiries, you may email Support.
Nothing in these Terms or otherwise limits Coridum's right to object to subpoenas, claims, or other demands.
25. Modification
We may update these Terms at any time, in our sole discretion. If we do so, we'll let you know by, at a minimum, posting the updated Terms (as indicated by a revised "Last Updated" date at the top of this page) on the Coridum Site and/or through the Coridum Service. Modifications will be effective on the date that they are posted to the Coridum Site. It's important that you review the Terms whenever we update them before you use the Coridum Service. If you continue to use the Coridum Service after we have posted updated Terms, you are agreeing to be bound by the updated Terms. If you don't agree to be bound by the updated Terms, then, you may not use the Coridum Service anymore. Because the Coridum Service is evolving over time we may change or discontinue all or any part of the Coridum Service, at any time and without notice, at our sole discretion.
26. Entire Agreement
These Terms may incorporate other legal documents by reference, as any other policies or procedures referenced herein that are posted to the Coridum Site from time to time.
In the event of a conflict between any policies posted on the Coridum Service and these Terms, these Terms will control. These Terms represent the entire understanding between Coridum and you regarding the Coridum Service or Content and supersede all prior agreements and understandings regarding the same. If any provision of these Terms is held invalid or unenforceable by an arbitrator or a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the other provisions of these Terms will remain in full force and effect.
27. Force Majeure
Neither Party shall be liable for any failure or delay in performance under these terms (other than for delay in the payment of money due and payable in accordance with these terms) for causes beyond the party's reasonable control and not caused by that party's fault, or negligence, including, but not limited to, "acts of God", acts of government, flood, fire, civil unrest, acts of terror, strikes or other labor problems, computer attacks or malicious acts, such as attacks on or through the internet, any internet service provider, telecommunications or hosting facility, but in each case, only if and to the extent that the non-performing Party is without fault in causing such failure or delay, and the failure or delay could not have been prevented by reasonable precautions and measures and cannot reasonably be circumvented by the non-conforming Party through the use of alternate sources, workaround plans, disaster recovery, business continuity measures or other means. Dates by which performance obligations are scheduled to be met will be extended for a period of time equal to the time lost due to any delay so caused.
28. Email Terms
Email. You can unsubscribe from email communications at any time. To stop receiving our promotional emails, follow the unsubscribe instructions in the email messages you receive from us, or contact us using the details provided under the How To Contact Us. We will process your request as soon as practicable after receipt, in accordance with applicable laws. Note that you will continue to receive transaction-related emails regarding products or services you have requested. We may also send you certain non-promotional communications regarding Coridum and our Services and, to the extent permitted by law, you will not be able to opt-out of those communications (e.g., communications regarding updates to our Terms).
22. Coridum Intellectual Property Policy
As between you and Coridum, Coridum owns the Coridum Service, the Content, Trademarks (as defined below), copyrights, patents, and any other audio-visual or static content, photographs, audio, images, illustrations, graphics, software, features, code, data, materials and information displayed on or otherwise made available through the Coridum Service, other than content that has been licensed to us by third parties (collectively, “Coridum IP”). This includes all intellectual property and proprietary rights in and to such Coridum IP.
The Coridum name, logos and affiliated properties, designs, trademarks, service marks, trade names and trade dress (collectively, “Trademarks”) are the exclusive property of Rearden Steel, Codeset and/or its affiliates, whether registered or unregistered, and may not be used in connection with any product or service that is not ours, or in any manner that is likely to cause confusion as to our endorsement, affiliation or sponsorship of any person, product or service. Nothing contained on the Coridum Service or in this Terms should be construed as granting, by implication, estoppel or otherwise, any license or right to use any of our Trademarks or other intellectual property without our express prior written consent. Any other trademarks appearing on the Coridum Service are trademarks of their respective owners. Our partners or service providers may also have additional proprietary rights in the content that they make available through the Coridum Service. Portions of the Coridum Srevices may utilize or include third party software and other copyrighted material. All rights not expressly granted in this Terms are reserved.
